When we announced the new licensing model on 1 October 2007, we recognised that some of our potential clients may already be mid-contract with third-party content providers, so we put together a proposal to ensure them a smooth transition to our new licensing model. Clients that qualify for bridge status need to take out a Bridge Licence – which allows for a migration period.

Q. How do we qualify to become a Bridge Client?

A. You need to have a current contract with one of the authorised Third Party Channels that has agreed to Bridge terms - see http://www.ftadmin.co.uk/version1/thirdPartyChannels.html for a list. Your third party contract must commence prior to 31 December 2007 and must not be due for renewal until after 1 April 2008.

Q. What is the offer?

A. Those organisations that qualify will need to take out a Bridge Licence. This allows for a migration period, which is the time between 1 April and the end of your current third party contract or Dec 2008, which ever happens sooner. The FT will not charge for FT content during this period as the Third party will continue to remit a royalty to the FT for use of FT content by Bridge clients.

Q. How do we apply to become a Bridge Client?

A. To apply, follow the six steps below:

1. Email ftsales.support@ft.com with the subject line ‘Bridge Client Application’ We require a written application (and an email is sufficient). The FT will respond to all emails with a receipt to confirm we have received the request

2. You will need to provide the following details:

a) The Third Party Channel(s) with whom your organisation currently has a contract and you would like to continue receiving FT content;
b) Confirmation that your third-party agreement(s) start prior to 31 December 2007 and end after 1 April 2008. You will need to give the contract renewal or end date for each channel you have an agreement with. The period between 1 April and the end of your current third party agreement (or end of Dec) is the migration period.

3. We will enter these details in the Bridge Licence (a special version of the FT Content Licence), sign it and return it to you for your signature

4. You must return the signed Bridge Licence to the FT as directed before 30 April

5. The FT will contact your chosen Channel, who must have agreed Bridge terms with the FT (please refer to the Third Party table above for a list of participating Channels) and ask them to verify your renewal date to confirm that you qualify for Bridge status. You are consenting to this in applying for a Bridge Licence.

6. The FT will instruct the relevant Channel to ensure that you have access to FT Content from 1 April 2008 or within 30 days of signature, which ever is the later. Please note that because it takes 30 days to enable access to FT content, there will be a period when your organisation is without FT content.

Q. Am I allowed to give you the information you refer to above? I’m worried about confidentiality clauses in our agreement with our Third Party Channel.

A. Authorised Agents that have agreed to Bridge terms, have given consent to all their customers to provide this information to the FT. The FT will verify your renewal date with each Channel that has agreed to Bridge terms.

Q. What happens if we do not qualify for "Bridge Client" status?

A. If you do not qualify you will need to agree an FT Content Licence in order for your access to FT content to be activated across your chosen Third Party Channel(s).

Q. What happens if we qualify as a Bridge Client and take advantage of this offer, but change our minds and no longer want to receive FT content after the end of that period?

A. We obviously hope this will not happen, but we will be offering our Bridge Clients the right to terminate their FT Content Licence without penalty at any time before the renewal date of their agreement with the Third Party Channel(s) or no later than 31 December 2008.

We will advise your Third Party Channel(s) to disable your access to FT content at this point.

Q. What happens if we qualify as a Bridge Client and take advantage of this offer, and then want to continue receiving FT content after the end of that period?

A. You will not need to do anything - you will continue to receive content under your direct FT content licence and we will start invoicing you with effect from the end of the migration period (i.e. the renewal date of your third party agreement or no later than January 2009).

Q. What happens if, as a Bridge Client, we are currently receiving FT content through more than one Third Party Channel and those contracts end at different times?

A. The Bridge offer is platform specific.

Q. I'd like to go ahead, what should I do next?

A. Please call our UK or US sales teams at any time on (UK) +44 (0) 20 7873 4001 or (US) +1 800 218 6046, or email us at ftsales.support@ft.com Please note that we reserve the right to change the terms set out in this note at any time.
